A firm's registered office is its official address for all business-related communications. While it is not mandatory to inform the Ministry of Corporate Affairs (MCA) in advance of opening additional offices, a company must notify MCA of any changes in its registered office address. Filingpoint team should be move in legal way.

The rules for changing a company's registered office address are different depending on whether the move is within the same state or between states. A move within the same city requires only a notice to be filed with the Registrar of Companies (RoC). However, a change from one state to another is a more complex process that involves the approval of shareholders and the Central Government.

To shift the registered office of a company to a new location in the same state, the corporation must pass a special resolution at an EGM for altering the address clause in the Memorandum of Association (MOA). Then, it must file Form MGT-14 with the ROC to get approval for the change. It must then serve individual notices to the company's creditors, depositors, and debenture holders to give them the opportunity to disagree with the change.

If no objections are received, the Regional Director will confirm the change. The company must then submit the confirmation with the ROC in e-Form INC-22 within 60 days of receiving it. The ROC will validate the change and update all locations where the address is listed. This includes the company's PAN, TAN, and bank accounts. It will also update its records with the stock exchanges and notify all stakeholders of the change.
